"He Said-She Said."

I've read board minutes where my brain goes into whiplash trying to keep up with the back and forth.

"Decisions Were Made."

I've read other sets of minutes where I'm left scratching my head, trying to figure out how a meeting in which two decisions were made took two hours.

The answer is somewhere in between.

I was at a one-topic board meeting last night.

And, natch, the topic was fundraising.

The board deftly dispatched some legal issues, financial trend-spotting, and new program development in a half-hour – and took 5 minutes to recognize and thank the executive director for an extraordinary leadership effort in opening a new afterschool center.

Then, with 1.5 hours to go, the board settled in to the question: “What are we going to do to raise money in the next 4 months?”

Every time I indicate my agreement with software terms and conditions by checking the box without bothering to read the small print, I'm reminded of how little placing a signature on a document really means in indicating comprehension and agreement. I want the software so I sign, whether I truly agree, in my heart of hearts, or not.

The same, sadly, is true of board agreements, commitment sheets, and other governance documents. If the only choice is to sign or be ostracized, someone will sign without giving a second thought.

And many board members do.

We’ve all seen them: Meetings where board members report on what they’ve done, agree to take on tasks, offer to support one another (“I’ll help you with that Suzy”). Meetings that crackle with deliberation, discussion of tactics towards a common goal, decisions, and commitments to action.

And we’ve all seen their opposite: Meetings that get lost in a swirl of details, tangents, anecdotes, pet peeves. Where “everyone has their say” and the debate goes round and round, nothing really resolves, and everyone leaves it behind till the next meeting when the discussion gets picked up right at the beginning all over again.

What makes the difference? There are a number of factors, but the most meaningful is a strong chair.

"It won't work," said Eeyore glumly.

You remember him, right?  Eeyore, the dour donkey in Winnie the Pooh's universe. 

Eeyore – so anxious…so lovable…so worried that the plan being hatched would fall on its face.

Every board has one.
